  • RELIABILITY; OR
  • ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT:

  • THE PLATFORM WILL OPERATE WITHOUT INTERRUPTION;
  • DEFECTS WILL BE CORRECTED;
  • THE PLATFORM WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • INFORMATION PROVIDED THROUGH THE PLATFORM WILL ALWAYS BE ACCURATE, COMPLETE, OR CURRENT.
  • YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAYA AUSTIN LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT DAMAGES;
  • INCIDENTAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • SPECIAL DAMAGES;
  • EXEMPLARY DAMAGES;
  • PUNITIVE DAMAGES;
  • LOSS OF PROFITS;
  • LOSS OF DATA;
  • BUSINESS INTERRUPTION; OR
  • OTHER ECONOMIC LOSSES,

ARISING FROM OR RELATED TO:

  • YOUR USE OF THE PLATFORM;
  • YOUR INABILITY TO ACCESS THE PLATFORM;
  • ANY TECHNICAL FAILURE;
  • ANY THIRD-PARTY SERVICES;
  • ANY UNAUTHORIZED ACCESS TO YOUR ACCOUNT;
  • ANY VIRUS OR MALICIOUS SOFTWARE; OR
  • ANY CONTENT AVAILABLE THROUGH THE PLATFORM.

TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO RAYA AUSTIN LLC THROUGH THE PLATFORM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH CASES, THESE LIMITATIONS SHALL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless RayaAustin LLC and its affiliates, officers, directors, employees, contractors, licensors, agents, and service providers from and against any claims, damages, liabilities, losses, costs, expenses, and reasonable attorneys' fees arising from or related to:

  • your violation of these Terms;
  • your misuse of the Platform;
  • your violation of applicable law;
  • your infringement of any intellectual property or other legal rights of another person or entity;
  • your negligence or intentional misconduct.
  • This indemnification obligation survives termination of your use of the Platform.

15. Suspension and Termination

We reserve the right, at our sole discretion, to suspend, restrict, or terminate your access to the Platform immediately and without prior notice if we reasonably believe that:

  • your activities may compromise Platform security;

The provisions relating to intellectual property, limitation of liability, indemnification, dispute resolution, and other provisions intended to survive termination shall remain in effect.

These Terms shall be governed by and construed in accordance with the laws of the State of Alaska, United States, without regard to its conflict of law principles.

Before initiating formal legal proceedings, both parties agree to make reasonable efforts to resolve any dispute through good-faith negotiations.

If a dispute cannot be resolved informally, either party may bring the matter before a court of competent jurisdiction located in the State of Alaska, unless otherwise required by applicable law.

Nothing in these Terms limits any consumer rights that cannot be waived under applicable law.

17. Changes to These Terms

RayaAustin LLC reserves the right to revise these Terms at any time.

Material updates will be reflected by updating the "Last Updated" date at the beginning of this document.

Your continued use of the Platform after revised Terms become effective constitutes your acceptance of those revised Terms.

If you do not agree with any revised Terms, you must discontinue use of the Platform.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms to the minimum extent necessary.

The remaining provisions shall remain valid, enforceable, and continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and RayaAustin LLC regarding your use of the Platform.

These Terms supersede any prior agreements, understandings, communications, or representations relating to the Platform.
